Terms of Service and End User License Agreement (EULA)

These Terms of Service and End User License Agreement (“Agreement”) govern your access to and use of the Savor mobile application, website, and related services (collectively, the “Service”).

By downloading, installing, accessing, or using Savor, you agree to be bound by this Agreement. If you do not agree to these Terms, do not use the Service.

1. About Savor

Savor helps users organize, enrich, and rediscover memories by analyzing photos that users choose to upload. Through artificial intelligence, image recognition, and location information, Savor identifies places, landmarks, restaurants, museums, activities, and other contextual information associated with uploaded photos to create meaningful collections of memories.

2. License Grant

Subject to this Agreement, Savor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the application on devices that you own or control in accordance with Apple’s App Store Terms and applicable law.

This license is granted solely for your personal, non-commercial use unless Savor expressly authorizes otherwise.

Except for the limited license granted herein, Savor and its licensors retain all right, title, and interest in the Service.

3. Eligibility

You must be at least 13 years old, or the minimum legal age required in your jurisdiction, to use the Service.

By creating an account, you represent that the information you provide is accurate and complete.

4. User Accounts

You may create an account using:

  • Sign in with Apple
  • Google Sign-In
  • Email address and password

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify Savor immediately if you suspect unauthorized access to your account.

5. Your Content

You retain ownership of all photos, notes, captions, memories, and other content that you upload or create using Savor (“User Content”).

To provide the Service, you grant Savor a limited, worldwide, non-exclusive, royalty-free license to:

  • Store and host your User Content;
  • Analyze your User Content using artificial intelligence and related technologies;
  • Generate metadata, descriptions, place information, and contextual information;
  • Display your User Content to you and to users with whom you choose to share it;
  • Synchronize your User Content across your authorized devices;
  • Perform any other actions reasonably necessary to operate, maintain, improve, and secure the Service.

This license exists solely for the purpose of providing the Service and terminates when your User Content is permanently deleted, subject to reasonable backup retention periods and applicable legal requirements.

You represent and warrant that you own, or have the necessary rights to upload and share, all User Content you submit to Savor.

5A. Shared Memories

Savor allows you to share selected memories with specific users that you invite.

Shared Memories are private by default. They are not publicly searchable or publicly accessible through the Service.

When you choose to share a memory, you authorize Savor to make the associated content, including photos, captions, notes, dates, locations, AI-generated descriptions, and other related information, available to the users you specifically invite.

You remain the owner of your User Content after sharing it.

Unless Savor introduces additional collaboration features in the future, inviting another user to view a Shared Memory does not transfer ownership of the memory or any associated User Content.

You may revoke access to a Shared Memory at any time through the Service, subject to reasonable technical limitations, backup retention, and any copies previously retained by recipients.

Although Savor employs access controls designed to protect Shared Memories, you acknowledge that recipients may copy, download, photograph, screenshot, or otherwise retain information contained in Shared Memories after it has been shared. Savor cannot guarantee that recipients will permanently delete copies of shared content.

5B. Collaboration Features

Savor offers or may introduce optional collaboration features that allow invited users to contribute to Shared Memories.

Where such features are available, Savor may assign permission levels such as:

  • Owner
  • Editor
  • Contributor
  • Viewer

The specific permissions associated with each role are described within the Service where those features are available.

Unless expressly stated otherwise, the user who created a memory remains its Owner.

6. AI-Generated Content

Savor uses artificial intelligence to analyze uploaded images and generate descriptive information.

AI-generated descriptions, place identifications, dates, activities, recommendations, and other generated information are intended solely to enhance your experience.

Artificial intelligence can make mistakes. Accordingly:

  • AI-generated information may be incomplete, inaccurate, misleading, or outdated.
  • AI-generated information should not be relied upon for legal, medical, financial, navigation, emergency, or safety-related decisions.
  • You remain solely responsible for reviewing and verifying information before relying upon it.

Savor makes no warranty regarding the accuracy or completeness of AI-generated information.

7. Acceptable Use

You agree that you will not:

  • Share memories that you do not have the legal right to share.
  • Upload photographs that violate another person’s privacy or publicity rights.
  • Redistribute or publish memories shared with you without the owner’s permission.
  • Use Shared Memories to harass, stalk, threaten, impersonate, or otherwise harm another person.
  • Circumvent sharing permissions or attempt to gain unauthorized access to another user’s memories.

Violation of these requirements may result in suspension or termination of your account.

7A. Responsibilities of Recipients

If another Savor user shares a memory with you, you agree:

  • to access the Shared Memory only as authorized by the owner;
  • not to redistribute or publicly publish the Shared Memory without the owner’s permission;
  • not to remove copyright notices or attribution associated with shared content;
  • to respect the privacy expectations of the person sharing the memory.

Nothing in this Agreement transfers ownership of Shared Content to recipients.

7B. Zero Tolerance for Objectionable Content and Abusive Users

Savor has zero tolerance for objectionable content and for abusive behavior toward other users. There is no warning system and no appeal window for clear violations.

“Objectionable content” includes, without limitation:

  • Sexual, pornographic, or sexually explicit material, and any sexual content involving minors;
  • Harassment, bullying, threats, hate speech, or content that demeans a person or group on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or age;
  • Depictions or glorification of violence, self-harm, or dangerous acts;
  • Spam, scams, deceptive content, or impersonation of another person or entity;
  • Content that is otherwise illegal, or that violates another person’s privacy or rights.

7C. Reporting and Blocking

Every shared memory, shared collection, and user profile carries a Report action and a Block action in its menu. Reporting an item hides it from you immediately and sends it to us for review. Blocking a user makes you and that user permanently invisible to each other and removes each of you from anything the other has shared; the blocked user is not notified. Blocks can be reviewed and undone in Settings.

You may also report objectionable content or abusive users to [email protected].

7D. Our Response

We review every report and act on it within 24 hours. Where a violation is found, we will remove the content, suspend or terminate the responsible account, or both, without notice and without refund. We may also report unlawful content to law enforcement.

8. Intellectual Property

The Service, including its software, interfaces, algorithms, organization methods, branding, trademarks, logos, text, graphics, and technology, is owned by Savor or its licensors and is protected by intellectual property laws.

Except for the license expressly granted in this Agreement, no rights are granted to you.

9. Third-Party Services

Savor integrates with third-party providers, including OpenAI, Google Cloud Platform, Cloudflare, Apple, and Google.

Your use of those services may also be governed by their respective terms and privacy policies.

Savor is not responsible for products or services provided by third parties.

10. Service Availability

While we strive to provide reliable service, we do not guarantee uninterrupted availability.

The Service may be unavailable because of maintenance, software updates, network interruptions, security incidents, or events beyond our reasonable control.

We reserve the right to modify, improve, suspend, or discontinue features at any time.

11. Subscriptions and Payments

Savor may offer free features as well as paid subscription plans that provide access to premium functionality.

Savor Premium

Savor currently offers an auto-renewing subscription, Savor Premium, available in monthly and yearly plans at the price shown in the App Store at the time of purchase. New accounts receive a free trial period; no payment is required to start the trial. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period.

When your trial or subscription ends, your account enters a read-only period during which your content is preserved and remains viewable. If the account remains unsubscribed after that period, Savor may delete the account and its content after providing advance notice, as described in the Savor Privacy Policy.

Purchases Through the Apple App Store

If you purchase a subscription through Apple’s App Store:

  • Payment will be processed by Apple.
  • Subscription renewals, billing, cancellations, and refunds are governed by Apple’s policies and your Apple account settings.
  • Savor does not have access to your payment information submitted to Apple.

Future Web-Based Purchases

Savor may also offer subscriptions purchased directly through our website or other authorized channels.

For subscriptions purchased directly from Savor:

  • Pricing and available plans will be presented before purchase.
  • Unless otherwise stated, subscriptions automatically renew until canceled.
  • You may cancel renewal at any time before the next billing cycle.
  • Refunds will be provided only where required by applicable law or expressly stated in the applicable subscription terms.
  • Payment processing may be performed by third-party payment providers.

Subscription pricing, features, and availability may change from time to time. Material pricing changes will not affect an active subscription until its next renewal period.

12. Termination

You may stop using the Service at any time.

You may delete your account through the application or by contacting Savor.

Savor may suspend or terminate your account if:

  • You violate this Agreement;
  • Your use presents security or legal risks;
  • Required by law; or
  • Necessary to protect the Service or other users.

Upon termination of your account:

  • Your access to the Service will end.
  • Your User Content will be handled in accordance with the Savor Privacy Policy and applicable law.
  • Shared Memories that you own may no longer be accessible to users with whom you shared them, subject to reasonable technical limitations.
  • Access previously granted to Shared Memories may be revoked as part of account deletion.
  • Backup copies may remain for a limited period before permanent deletion.

Sections concerning intellectual property, limitations of liability, indemnification, dispute resolution, payment obligations, and any provisions intended to survive termination shall remain in effect.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

SAVOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL OPERATE WITHOUT INTERRUPTION OR THAT ANY AI-GENERATED INFORMATION WILL BE COMPLETE OR ACCURATE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVOR, ITS AFFILIATES, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: THE AMOUNT YOU PAID TO SAVOR DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR FIFTY U.S. DOLLARS (US $50.00).

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Savor, its affiliates, officers, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Service;
  • Your uploaded content;
  • Your violation of this Agreement; or
  • Your infringement of another person’s rights.

You are solely responsible for ensuring that you have all necessary rights and permissions to upload and share photographs depicting other individuals, copyrighted works, private property, or other protected material.

16. Copyright Policy

Savor respects the intellectual property rights of others.

If you believe that content available through Savor infringes your copyright, you may submit a copyright infringement notice to the contact information provided below.

Upon receiving a valid notice, Savor may remove or disable access to the allegedly infringing content while the matter is investigated.

Savor reserves the right to suspend or terminate repeat infringers where appropriate.

17. Export Compliance

You may not use the Service in violation of United States export control or sanctions laws.

You represent that you are not located in, ordinarily resident in, or acting on behalf of any country or person subject to applicable U.S. sanctions or export restrictions.

18. Force Majeure

Savor shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, power failures, or failures of third-party service providers.

19. Assignment

You may not assign or transfer your rights or obligations under this Agreement without Savor’s prior written consent.

Savor may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets.

20. Privacy

Your use of the Service is also governed by the Savor Privacy Policy, which is incorporated into this Agreement by reference.

21. Changes to the Service and These Terms

We may update, modify, suspend, or discontinue any portion of the Service at any time.

We may also revise this Agreement from time to time.

If we make material changes, we will provide reasonable notice through the application, our website, or by email where appropriate.

Your continued use of the Service after revised Terms become effective constitutes acceptance of the updated Agreement.

22. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Nothing in this Agreement limits any consumer protection rights that cannot be waived under applicable law.

23. Apple App Store Terms

If you downloaded the application from the Apple App Store:

  • Apple Inc. is not a party to this Agreement.
  • Apple has no obligation to provide maintenance or support services.
  • Apple is not responsible for claims relating to the application, including product liability, legal compliance, or consumer protection claims.
  • Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce its terms.

25. Entire Agreement

These Terms, together with the Savor Privacy Policy, constitute the entire agreement between you and Savor regarding the Service and supersede all prior agreements relating to your use of the Service.

If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.

Failure by Savor to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other rights.
